1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of RetainIQ services ("Services") provided by AIElevate Pte. Ltd. ("Company," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use our Services.
2. MVP and Early Access Program
RetainIQ is currently in MVP (Minimum Viable Product) phase. Access to the platform is limited to approved early access participants.
- Invitation-only access: MVP users must be approved and invited by AIElevate.
- Beta status: The Services are provided "as is" and may contain bugs, errors, or incomplete features.
- No guarantees: We do not guarantee uninterrupted service availability during the MVP phase.
- Feedback: MVP users may be asked to provide feedback to help improve the product.
3. Account Registration and Security
To use RetainIQ, you must:
- Provide accurate, complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
- Be responsible for all activities under your account
4. Founding Customer Pricing
Our first 20 customers receive special Founding Customer pricing:
- Lifetime locked rates: 13% Recover / 18% Reactivate fees (locked forever)
- Module coverage: Pricing applies to Recover and Reactivate modules available at MVP launch
- Future modules: New modules, enterprise features, or add-ons introduced after signup may be priced separately
- Cancellation: You may cancel anytime with 30 days notice
- Rate protection: Your founding rate never increases as long as you remain a customer
After the first 20 customers, standard pricing (15% Recover / 20% Reactivate) applies to all new signups.
5. Payment Terms
- Performance-based fees: You pay only when we successfully recover revenue or reactivate customers
- Billing: Invoices are issued monthly based on recovered/reactivated MRR
- Payment processing: Payments are processed via Stripe
- Transparent invoicing: All invoices itemize fees and show exact calculations
- Late payments: Overdue invoices may result in service suspension
6. Service Integration
RetainIQ integrates with your Stripe account to:
- Access subscription and payment data
- Identify failed payments and dormant customers
- Execute recovery and reactivation campaigns
- Track recovered revenue and reactivations
You grant us permission to access necessary Stripe data to provide our Services. We will not access data beyond what is required for service functionality.
7. Acceptable Use
You agree NOT to:
- Use the Services for illegal activities
- Attempt to reverse engineer or hack our platform
- Share your account credentials with others
- Upload malicious code or viruses
- Interfere with other users' access to the Services
- Use the Services to spam or send unsolicited communications
8. Intellectual Property
All rights, title, and interest in RetainIQ (including software, content, trademarks) are owned by AIElevate Pte. Ltd. You receive a limited, non-exclusive, non-transferable license to use the Services during your subscription period.
9. Data and Privacy
Your use of the Services is also governed by our Privacy Policy. We collect, use, and protect your data as described in that policy.
- Your data: You retain ownership of your customer data
- Our data: We own analytics, aggregated data, and platform improvements derived from service usage
- Data security: We implement industry-standard security measures
- Data export: You may export your data at any time
10. Termination
Either party may terminate this agreement:
- By you: Cancel anytime with 30 days written notice
- By us: For breach of Terms, non-payment, or at our discretion with 30 days notice
- Effect of termination: Access to Services ends; outstanding fees remain due
- Data retention: We may retain data for legal/backup purposes for up to 90 days
11. Disclaimers and Limitations
AS-IS SERVICE: RetainIQ is provided "as is" without warranties of any kind, express or implied. We do not guarantee specific revenue recovery results.
LIMITATION OF LIABILITY: Our total liability for any claims arising from these Terms or the Services shall not exceed the fees paid by you in the 12 months preceding the claim.
We are not liable for indirect, incidental, consequential, or punitive damages.
12. Indemnification
You agree to indemnify and hold harmless AIElevate Pte. Ltd. from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.
13. Governing Law
These Terms are governed by the laws of Singapore. Any disputes shall be resolved in Singapore courts.
14. Changes to Terms
We may modify these Terms at any time. Significant changes will be communicated via email or platform notification. Continued use of the Services after changes constitutes acceptance of the new Terms.
